1. Acceptance of Terms
By engaging Araniko Engineering & Construction ("Araniko," "we," "us," or "our") for any construction, engineering, or consultancy services, or by accessing our website at aranikoengineering.com, you ("Client," "you," or "your") agree to be bound by these Terms and Conditions.
If you do not agree with any part of these terms, you must not use our services or website. These terms constitute a legally binding agreement between you and Araniko Engineering & Construction, registered and operating from Kalikanagar, Butwal, Nepal.
We reserve the right to update these terms at any time. Continued engagement with our services following any update constitutes acceptance of the revised terms. We will endeavor to provide reasonable notice of material changes.
2. Services & Scope of Work
Araniko Engineering & Construction provides civil engineering, structural design, construction management, residential and commercial building, infrastructure development, and related consultancy services. The exact scope of services for any project shall be defined in a written contract or project agreement signed by both parties.
We reserve the right to subcontract portions of the work to qualified and vetted subcontractors. However, Araniko retains full responsibility for the quality and timely completion of all contracted work, regardless of subcontracting arrangements.
Services are provided subject to site conditions, regulatory approvals, weather, and other factors beyond our reasonable control. We will communicate any foreseeable delays promptly and work to minimize their impact on project timelines.
All structural designs and engineering deliverables are prepared by licensed engineers registered with the Nepal Engineering Council (NEC) and comply with applicable national building codes and standards.
3. Quotations & Estimates
All quotations issued by Araniko Engineering are valid for 30 days from the date of issue unless otherwise specified in writing. After this period, prices may be subject to revision due to material cost fluctuations, labor rates, or changes in project scope.
Estimates and quotations are based on information available at the time of preparation. Any inaccuracies in information provided by the Client may affect the final cost. Araniko is not liable for cost increases arising from incomplete or incorrect information supplied by the Client.
A written quotation acceptance or signed contract is required before commencement of any substantial work. Verbal agreements do not constitute binding commitments.
4. Payment Terms
Payment schedules are outlined in each individual project agreement. As a general guideline, a mobilization advance of 20–30% of the contract value is required prior to project commencement. Progress payments are due upon completion of defined milestones, with the final retention payment released 30 days after practical completion and defects inspection.
Invoices are payable within 14 days of issuance unless otherwise agreed. Late payments will attract interest at a rate of 1.5% per month compounded on any overdue balance. Araniko reserves the right to suspend work on projects with outstanding invoices exceeding 30 days past due.
All prices are in Nepalese Rupees (NPR) unless explicitly stated otherwise. Applicable taxes, including VAT at the prevailing rate, will be added to all invoices as required by Nepalese law.
5. Changes & Variations
Any changes to the agreed scope of work must be submitted in writing as a Variation Order. Araniko will assess the impact of the variation on cost and timeline and provide a written response within 7 business days. No variation work will commence without written authorization from both parties.
The Client acknowledges that variations may affect the project timeline and that Araniko is not responsible for delays caused by client-initiated changes, late supply of client-furnished materials or decisions, or unforeseen site conditions not disclosed prior to contracting.
6. Limitation of Liability
To the maximum extent permitted by applicable Nepalese law, Araniko Engineering's total liability in connection with any project or service shall not exceed the total contract value of that specific project.
Araniko shall not be liable for any indirect, consequential, incidental, or punitive damages, including but not limited to loss of profit, loss of business opportunity, or loss of use, arising from the provision of services, even if advised of the possibility of such damages.
Araniko maintains comprehensive public liability insurance and professional indemnity insurance. Certificates of currency are available upon request. The Client is responsible for maintaining adequate insurance coverage for the project site and their own interests.
Araniko Engineering has maintained a 99.8% safety rating across 500+ completed projects, reflecting our commitment to risk management and safe working practices.
7. Safety & Compliance
Araniko Engineering is committed to maintaining the highest standards of workplace health and safety on all project sites. All operations comply with the Labour Act 2074 (Nepal) and relevant occupational health and safety regulations.
The Client is responsible for ensuring that access to the project site is safe, that any hazardous conditions are disclosed prior to commencement, and that applicable regulatory permits and approvals are obtained. Araniko reserves the right to halt work where a safety risk is identified until remedied.
Our team members hold current OSHA certifications and participate in ongoing safety training programs. All safety incidents, however minor, are reported and investigated in accordance with our safety management system.
8. Intellectual Property
All engineering drawings, designs, specifications, reports, and technical documents produced by Araniko Engineering remain the intellectual property of Araniko Engineering until full payment of all outstanding invoices has been received.
Upon receipt of full payment, the Client receives a non-exclusive license to use the deliverables for the specific project for which they were prepared. Reproduction, modification, or use of Araniko's designs for other projects requires prior written consent and may be subject to additional fees.
The Client grants Araniko the right to photograph completed projects and use images for portfolio, marketing, and promotional purposes, unless otherwise agreed in writing prior to project commencement.
9. Termination
Either party may terminate a project agreement for material breach, provided written notice specifying the breach is given and the breaching party fails to remedy the breach within 14 days of receipt of notice.
The Client may terminate a project agreement for convenience upon 30 days' written notice. In such case, the Client shall pay Araniko for all work completed to the date of termination, including reasonable demobilization costs, plus a termination fee equal to 10% of the outstanding contract value.
Araniko may suspend or terminate work if payment obligations are not met within 30 days of a formal notice of non-payment.
10. Governing Law
These Terms and Conditions and any project agreements shall be governed by and construed in accordance with the laws of Nepal. Any disputes arising from or in connection with these terms shall first be attempted to be resolved through good-faith negotiation between the parties.
If negotiation fails, disputes shall be submitted to mediation under the rules of the Nepal Mediators' Society. If mediation is unsuccessful within 60 days, disputes shall be referred to binding arbitration in Butwal, Lumbini Province, conducted in accordance with the Arbitration Act 2055 (Nepal).
